This Agreement is between BLOCKA23 LLC, a Nevada Limited Liability Company doing business as Audio Hooks Studio ("Company") and Client. By submitting payment, Client agrees to be bound by this Agreement, the Terms of Service at /terms, and the Privacy Policy at /privacy.

Client consents to electronic signature under the E-SIGN Act and Nevada Revised Statutes Chapter 719.

Scope of Work (19 deliverables)

Everything in Starter, plus:

1 Sonic Logo (3 to 5 seconds)
3 Social Media Micro-Loops (15s, 30s, 8 to 10s)
Pre-production Genre Mood-Board Session (45 min)
Post-delivery Brand-Sound Consultation (45 min, must be scheduled within 30 days of delivery)
4 included revision rounds total (additional rounds $350 each)

Timeline & Revisions

Estimated turnaround: 2 to 4 weeks. The estimate assumes Client approval at each milestone within 2 business days. Delays caused by Client feedback timing, third-party approvals, or specification changes will toll the timeline.
Revisions are unlimited in count, not in scope. Revisions cover reasonable adjustments to the approved Creative Brief. Scope-altering requests (re-recording all vocal parts, complete genre changes, deliverable count increases) are billed as Change Orders at standard add-on rates.

Payment

50% deposit on contract execution (this checkout). 50% balance on project completion; final deliverables are released only after the balance has settled.
Deposit is non-refundable once composition work has commenced (typically within 48 hours of payment settlement).
Cancellation requires written notice; Client is liable for work completed plus a 25% administrative recovery.

Ownership & License

Upon final payment, Client receives a worldwide, exclusive, perpetual buy-out license for all delivered compositions. No ongoing royalties, sync fees, or licensing fees.
Deliverables are produced through a human-directed engineering workflow that may include algorithmic stem generation and machine-assisted production tools commercially licensed for the agreed use case.
If Client seeks copyright registration, Client is solely responsible for accurate disclosures to the USCO. The Copyright Registration Support Addendum at /agreements/copyright-support-addendum is available on request.
Client is responsible for any platform-specific disclosure requirements (broadcast, ad networks, podcast platforms). Company provides production documentation on written request.

Governing Law & Venue

Nevada law governs this Agreement.
Exclusive jurisdiction in Clark County, Nevada state and federal courts.
Disputes resolved through binding arbitration under AAA Commercial Arbitration Rules after a 30-day good-faith resolution period.
Total liability is capped at the amount paid for the project giving rise to the claim. No indirect or consequential damages.
